1. Agreement to Terms

By accessing and using the services of vrgo.dev ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our services.

2. Services Description

vrgo.dev provides custom software development services, including but not limited to:

• Web and mobile application development
• IT staff augmentation
• Dedicated development teams
• Software consulting services
• UX/UI design services

3. Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information required for project execution
• Respond to our requests for clarification or approval in a timely manner
• Make payments according to the agreed schedule
• Respect our intellectual property rights
• Not use our services for any illegal or unauthorized purpose

4. Project Engagement

Specific terms for each project will be outlined in a separate agreement or statement of work, which will include:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Change management procedures

5. Intellectual Property Rights

Client Work: Upon full payment, all intellectual property rights to the deliverables created specifically for you will be transferred to you, unless otherwise agreed in writing.

Pre-existing IP: We retain all rights to our pre-existing intellectual property, including but not limited to methodologies, frameworks, and tools.

Open Source: Any open-source components used in your project will remain subject to their respective licenses.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received during the course of the engagement. This obligation survives the termination of our services.

7. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur interest charges
• We reserve the right to suspend services for overdue accounts

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• We do not guarantee that our services will meet all of your requirements
• We are not responsible for delays caused by factors beyond our control
• Our services are provided "as is" without any implied warranties

9. Limitation of Liability

To the maximum extent permitted by law, our liability for any claims arising out of or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from:

• Your breach of these Terms
• Your use of the deliverables
• Your violation of any laws or third-party rights

11. Termination

Either party may terminate the services according to the terms specified in the project agreement. Upon termination, you must pay for all work completed up to the termination date.

12. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through good faith negotiations. If unsuccessful, disputes will be settled through binding arbitration in Singapore.

13. Governing Law

These Terms are governed by the laws of Singapore, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or through our website.
